Chapter One: General

Article 1: Name
The name of the organization shall be "McGill Taiwanese Students' Association" which in Chinese is .It shall hereafter be referred to as "M.T.S.A."

Article 2: Aims
(1) To introduce and promote Taiwanese culture
(2) To foster and strengthen friendship between students and other societies both within and outside the McGill community
(3) To assist members in getting familiar with their surroundings, especially the McGill Campus and downtown Montreal.

Chapter Two: Membership

Article 1: Full Membership
Full membership shall be open to all students of McGill University. Full members shall have voting privileges as well as be eligible to hold executive positions within M.T.S.A.

Article 2: Associate Membership
Associate membership shall be open to all those who are not eligible for full membership and is subject to the approval of the general membership. Associate members shall have voting privileges but shall not hold executive position within M.T.S.A.

Chapter Three: General Meetings

Article 1: Authority
The general meeting shall be the supreme authority of the society

Article 2: Chairperson
The annual general meeting shall be convened by the President of the Society and shall be held for prior to March 31st of each year. The function of the annual General Meeting shall include the following:
(1) To receive and adopt minutes of the previous General Meeting
(2) To receive and adopt annual reports submitted by the Executive Committee
(3) To elect the Executive Committee

Article 3: Special General Meeting
(1) Upon Receiving a written request of 20% of the total full membership, the President must call a Special General Meeting within ten days
(2) A Special General Meeting shall be convened by the President
(3) In a request of a Special General Meeting, the reasons for such a meeting shall be announced together with the notice for the Special Meeting requested

Article 4: Notice for General Meetings
General Meetings shall be called by the President with seven days notice. Notice in the McGill Daily/Tribune, with posters on campus shall be distributed by the Executive Committee to notify members

Article 5: Quorum
At all General Meetings, 30% of the total full membership on the first call, or any number on the second call, shall constitute a quorum

Article 6: Impeachment of Executive Officers
A two-third majority vote at a General Meeting may impeach any executive from office

Article 7: Rules of Order
The authority on procedure at all General Meetings of the Society shall be "Robert's Rules of Order, Newly revised"

Chapter Four: Executive Committee

Article 1: Authority
The authority of the Society shall be vested in its Executive administer the affairs of the Society

Article 2: Composition
The executive committee shall be composed of: (1) President, (2) Vice-President of Internal Affairs, (3) Vice-President of External Affairs, (4) Treasurer / Finance, (5) Secretary, (6) Communications Director, (7) Cultural Director, (8) Social Director, (9) Sports Director, (10) Webmaster & Graphics Design, (11) First Year Representative, (12) First Year Representative. In addition, there can be a number of Senior Advisor(s) and junior officers who will provide counsel and support for committee members. The Internal Committee shall be composed of (1) President, (2) Vice-President of Internal Affairs, and (3) Vice-President of External Affairs.

Article 3: Duties of the Executive

President: The President shall:
(1) Represent the Society in all matters of internal and external activities bearing the Society's name
(2) Direct, manage, and administer the Executive Committee in all activities of the Society
(3) Co-sign all financial transactions of the Society with the Treasurer
(4) Provide and hold all General meetings, Executive Committee meetings, and Internal Committee meetings.

Vice President of Internal Affairs: The VP Internal shall:
(1) Assist the Chief Executive (President) and shall act as President in the event of the Chief Executive’s absence
(2) Supervise the Executive Committee in all activities of the Society, including facilitating communication between executives.
(3) Be responsible for establishing and maintaining relationships with other student organizations within McGill and beyond, including representing the club and communicating its beliefs and positions to such organizations and groups.
(4) Assist other director(s) in the co-ordination and management of all club events and activities

Vice President of External Affairs: The VP External shall:
(1) Supervise the Executive Committee in all activities of the society
(2) Be responsible for establishing and maintaining relationships with sponsors within McGill, downtown Montreal, and beyond, including representing the club and communicating its beliefs and positions to such organizations and groups.
(3) Assist other director(s) in the co-ordination and management of all club events and activities

Treasurer: The Treasurer shall:
(1) Co-sign all financial transactions of the Society with the President
(2) Be responsible for the Society's budget and financial statements, including maintaining a well-balanced fund for all fundraising activities and other such events.
(3) Keep all accounts of the society up to date, and these accounts shall at all times be subject to inspection by SSMU upon request.
(4) Collect receipts of purchase(s) made on behalf of the club from other council members at the first Executive Council Meeting after the purchase, and shall reimburse the council member(s) at the following Executive Council Meeting

Secretary: The Secretary shall:
(1) Act as a personal secretary to the President, and deliver information to executive officers as specified by the President.
(2) Be responsible for taking minutes at each meeting, including distributing these minutes to all executive officers through e-mail within twelve hours following each meeting.
(3) Be responsible for checking the Society's mail box twice a week, and passing over such mail to the appropriate executive officer.
(4) Manage and arrange all documents in the office in an organized manner as specified by the President.
(5) Keep an inventory list of all items in the office and update this list on a weekly basis.

Communications Director: The Communication Director shall:
(1) Create periodic e-mails which specify details about events and other news of the association, as agreed to by the executive committee. When requested by the President, the e-mail shall be produced in both English and Traditional Mandarin within 24 hours.
After approval from the President, the e-mail must be sent to all contacts on the mailing list within six hours.

Cultural Director: The Cultural Director shall:
(1) Advise and encourage the Executive Committee in enhancing cultural aspects in all activities bearing the Society’s name.
(2) Be entirely responsible for the Language Exchange, including organizing, managing, overseeing, and promoting all sessions.

Social Director: The Social Director shall:
(1) Be responsible for promoting social gatherings and activities bearing the Society’s name.
(2) Be responsible for organizing, managing, and composing guest lists for all clubbing events.

Sports Director: The Sports Director shall:
(1) Be entirely responsible for organizing, managing, and overseeing all sports and recreational activities bearing the Society’s name, above all, the Intramurals teams and the Ski Trip.

Webmaster & Graphics Design: The Webmaster shall:
(1) Be entirely responsible for creating, managing, and maintaining the club’s website.
(2) Update the ‘News’ section of the website periodically with all relevant information acquired from the President.
(3) Design all art and graphics required for the Society.
(4) Take digital pictures at all events for the purpose of the Society.

First Year Representatives: The First Year Representatives shall:
(1) Foster and maintain relationships with all members, above all, the first year students.
(2) Consult the first year students following each event and obtain feedbacks to advise the Executive Committee.
(3) Promote and supervise the First Year Gathering event.

Article 4: Senior Advisors: The Senior Advisor shall:
(1) Be available for consultation purpose
(2) Provide thoughtful and equitable advises

Article 5: Executive Committee Meetings
(1) At least one meeting shall be held each month
(2) Executive Committee Meetings and Internal Committee Meetings shall be called by the President at least 48 hours before the meeting, unless under special circumstances.

Article 6: Resignation
Resignation of any Executive shall be made by written notice to the Executive Committee at least one month prior to the date of resignation.

Chapter Five: Year End Transition of Executive Committee

Article 1: Executive Position Transition
(1) All current Executive officers have the right to nominate individuals to run for Office the following year. There must be at least one nominee per position before March 15th.
(2) All nominated individuals must be interviewed or will not be considered for office unless he/she is a current Executive officer.
(3) The Interview shall be held before March 30th.
(4) All current Executive officers must cast a vote on every position, unless not present at the Interview, in which case, he/she will lose all voting privileges.
(5) In the event that two or more individuals competing for one office has equal votes, the Internal Committee shall determine the verdict.
(6) In order to run for a position in the Internal Committee, an individual must have at least one year of experience on the Executive Committee of MTSA.

Article 2: Office Vacancies
A general meeting shall be called in the event of a vacant position

Chapter Six: Fees

Article 1: Membership Fees
Full members and associate members shall be required to pay annual fees to the Society. The membership fees shall be decided by the Executive Committee

Article 2: Fees for Activities
The charges for various activities of the Society shall be decided by the Executive Committee

Chapter Seven: Amendment to the Constitution

Article 1: Proposal
Amendments must be proposed, in writing, by the Executive Committee or by two-thirds of the full membership

Article 2: Approval
(1) Amendments shall be adopted upon a simple majority vote of the full members attending a General Meeting
(2) Amendments to the Constitution will not become effective until Ratified by the Students' Society of McGill University Council

Article 3: Students' Society Constitution
Any areas not included in this Constitution will then fall under the Students' Society of McGill University Constitution
